TORONTO, Sept.儲存 5, 2013 /CNW/ - A loss of confidence due to write-downs, market uncertainty, and falling commodity and equity prices across the mining sector dampened M&A activity in the first half of 2013 with deal volume dropping 31% from the same period in 2012, and deal values down 74% from January -June 2013, according to PwC's Mining Deals Report."Even with the industry facing a confidence crisis and large mining companies delivering little profitability, limited deals are still getting done," says John Gravelle, Global and Canadian Mining Leader, PwC. "Traditional takeovers of entire companies are taking a back seat to joint ventures and spinoffs. Expect more of these non-traditional and creative deals to round out M&A activity during the second half of 2013."As well, the mining industry's major public companies have taken on different M&A roles in recent months - switching from buyers to sellers. Rio Tinto plc's unloading its 80% stake in the Northparkes copper mine in Australia to a Chinese buyer is an example of this, according to the deals report.Gravelle adds, "Mining CEOs are taking a fresh look at what assets are core and plan to raise proceeds to reduce debt, improve shareholder returns and fund capital expenditures. They will need to concentrate on the projects they have and operate them with a focus on the bottom line."Change in mining real estate According to the report, Russia and Kazakhstan surprisingly took the top two spots for most active M&A by geography in the first half of 2013. Russia accounted for just over a quarter of deals, followed by Kazakhstan at 19%, and the U.S. with 11%.Russia's dominance is due to Mikhail Prokhorov - one of Russia's wealthiest men - selling his entire 37.8% stake in Polyus Gold International to two billionaire bidders from the same country for $3.62 billion, the report explains. Kazakhstan had the second and third largest deals, and ranked second highest on the list thanks to the $2.2 billion buyout of Eurasian Natural Resources Corp. by the three founders of the company.Gold and copper remain attractive for M&As "Gold and copper continue to be the most active buyers and sellers in the first half of 2013 - a trend expected to continue as depressed prices create opportunities for those who can afford to buy," says Gravelle.In 2012 and 2013, gold and copper accounted for nearly half of the transactions in the sector by both value and volume. For the first half of 2013, gold was the leader by value, representing 36% of transactions from January to June - compared with 26% for the first half of 2012. Source: The Beaumont Enterprise, TexasSept.存倉 04--The Beaumont school district will consider securing voting equipment to run an election Nov. 5 that could still be stopped in court, which would put the district on the hook for at least $2,500 in cancellation fees.Everything depends on timing, with a Sept. 11 court hearing to determine whether an election will be held at all this year scheduled just a week before the district would have to pay a penalty for canceling its election plans.Because a Jefferson County assistant district attorney issued an opinion to the Jefferson County Clerk that BISD's election scheduled for Nov. 5 was not legal, the county would not run it.That left BISD having to hire its own administrator and rent its own equipment, which trustees will consider today at a special meeting at 4:30 p.m.The cost of renting ballot machines and hiring an administrator is about $40,000. If Jefferson County had run the election, it would have cost about $17,000. The May election was canceled after the school district attorneys went to federal court to stop it.If Beaumont school trustees decide to rent equipment and hire the administrator, it doesn't mean the district immediately would pay for the services, said district attorney Melody Chappell.The administrator would charge $15,000, and the equipment rental would be almost $25,000.The school board has called for an election in three of its voting districts. The terms for those districts expired in May.However, only one of the districts is contested. Two of the candidates, both incumbents, are unopposed.Chappell said the school board likely could cancel the election in those two districts and continue with the district in which challenger Joseph Hilliard has filed to oppose incumbent Janice Brassard. The two unopposed trustees are Gwen Ambres and Tom Neild.Whether and what kind of election might take place still is unresolved.A hearing will take place on Sept. 11 in 172nd District Court on whether the school board's calling for a Nov. 5 election is legal. Other issues include whether all seven seats should go before voters in single-member districts or if candidates should run for five single-member seats and two at-large seats.For the district to be able to avoid cancellation fees for the electronic voting devices, the company, Election Services and Software, needs a written cancellation notice at least 45 days before the scheduled election to avoid a cancellation fee of 10 percent, or $2,487.That leaves District Judge Donald Floyd about one week from the Sept. 11 hearing date to reach a decision before the 45-day deadline necessary to avoid the cancellation fee.Opponents of BISD's Nov. 5 election have stated they do not believe the district has a right to call for an election in November in odd-numbered years because there is 迷你倉o accompanying municipal or county officer election.BISD historically has had its trustee elections in May when Beaumont's mayor and city council candidates have run for office. Jefferson County officials have run in March primaries and in November general elections, but those take place in even-numbered years.The election opponents, led by Beaumont attorneys Michael Getz, David Vann de Cordova, Hubert Oxford IV and Michael Truncale, also have said that all seven BISD seats should go before voters after a census redistricting because the state education code requires it. They say BISD needs a court order to proceed with the election because it is out of its regular cycle.Because of legal maneuvering earlier this year as a result of an order from the Texas Ninth Court of Appeals prescribing eligible candidates in the school board election, the school district's majority hired a Houston law firm specializing in election law. The firm, Brazil and Dunn, succeeded in delaying the scheduled May 11 election, which effectively canceled it.Because the U.S. Supreme Court subsequently invalidated a section of the federal Voting Rights Act that required Texas to win prior approval for changes in voting laws, the federal circuit court in the District of Columbia dismissed the lawsuit in which it had exercised control in the BISD election because, as its judges stated, the court no longer had jurisdiction. That sent the lawsuit back to Texas, where it landed in Floyd's court."We don't feel we need an order," Chappell said. "We're on a tight timeline to have people trained and equipment leased. It's not a case where we write a check the next day. It's based on services and performances."The proposed administrator, Jill R. Moffitt, spent about 15 years as a shipping clerk at the ExxonMobil Baytown refinery and currently serves as chairwoman of the Harris County Ballot Board, which she has served on since 2009. She also served as Fair Elections Chair for the Harris County Democratic Party from 2009 to the present.She also has run a business called Gems By Jill and has had on-line election training from the Texas Secretary of State's office, which supervises statewide elections.A ballot board serves to determine the eligibility of absentee and provisional ballots. In Jefferson County, a ballot board was convened after the contested tax assessor-collector election last year between incumbent Shane Howard and challenger Thomas Sigee.Howard said political party chairpersons appoint some members. Others are officially appointed. Source: The Commercial Appeal, Memphis, Tenn.存倉Sept. 05--The Shelby County Election Commission is the focus of another critical audit, this time focusing on the error-plagued agency's competence in registering voters.A draft audit report prepared by Shelby County government's internal audit unit found the commission failed to process dozens of voter registration applications between March 2012 and this January.The report also says that improper documentation made it impossible for auditors to identify election commission employees who processed or changed some voter registration records, and that a computer "user profile'' used to make some changes was deleted during the audit.The report follows a critical audit last year by the state that found the commission gave numerous voters the wrong ballots in the August 2012 state primaries and local general elections.The mix ups, which involved failing to place some voters in their correct districts following redistricting of the county's political boundaries, led to a judge's ruling last month to overturn the results of one school board race and order a new election. The ruling is expected to be appealed.The new audit, a 28-page report stamped "Draft''and dated Aug. 19, was conducted by the internal audit unit as part of a routine review of county operations.In all, the audit cites 19 findings, seven of them ranked "high'' in terms of the potential risk to the commission's operations.Some of the most serious violations involve the integrity of voter registration operations.Elections Administrator Richard Holden said Wednesday he and his staff are gearing up for a series of elections this fall and have not had time to investigate the audit findings and respond, which is a routine element in the audit process."I'm not saying this is not important. This is important. And it needs to be done. But it needs to be done carefully and properly with the right amount of resources," Holden said early Wednesday, saying he hoped to wait until after Thanksgiving.But Chairman Robert Meyers said late Wednesday that officials now will file responses to the audit findings by Oct. 14."I think we owe the public a response sooner rather than later," he said.One critical finding involves unverified voter registration applications processed between March 29, 2012, and Jan. 19, 2013. Sample testing of those applications found that 40 of 137 applications found in a folder on a computer drive remained unprocessed. The audit report says the manager responsible for the applicat迷你倉ons "was unaware of (the folder's) existence.'' The report continues, "Consequently, measures were not sufficient to ensure processing of all applications.''Holden questions whether the auditor performing the review had the proper "technical expertise.'' He said, however, he doesn't believe voters were disenfranchised by a failure to process registration applications because voters can always vote at the polls using a provisional paper ballot.Meyers said he has only perused the report, but said the findings on voter registration seem concerning, at least on the surface."That would be very concerning to me and I'm sure to all the members of the board,'' he said. "But I'd like to know, again, what management's response to that is. One, is that accurate? Two, who are these individuals? Three, what remedy if any has been undertaken at this point? And then was there an impact to these individuals as it relates to their ability to present themselves to vote?''Meyers said he hopes to know more soon about how quickly the commission might be able to address the audit findings.Another finding rated "high'' involved processing the crush of voter registration applications before last November's presidential election. The report indicates that on the whole, the commission performed well in processing 19,624 applications in October and November. However, the audit found that records for 12 applications were unavailable for review. In addition, inadequate documentation made it impossible to identify which employees were responsible for processing, "making changes to'' or "declining applications'' involving 27 other records.Six of those records were processed under a generic user profile labeled "NoNONONONO'' accessible to all staff. "However, during the (audit) review, the user profile was subsequently deleted from the system on April 17, 2013, resulting in a blank space where the user name was initially displayed,'' the report says.Another finding rated "high'' says the commission spent $144,000 to hire temporary workers from a private agency for last November's elections but could have spent just $92,000 -- about $52,000 less -- by hiring through county human resources. Source: Reading Eagle, Pa.self storageSept. 04--PHILADELPHIA -- Chip Kelly has a five-year contract to coach a football team that managed just four victories last year and hasn't won a playoff game since 2008.So it's reasonable to presume the first-time NFL coach has some time to overhaul the Philadelphia Eagles to return them to contention, given that the franchise is just 33-33 over the last four seasons and has missed the playoffs the last two, going 12-20.Nonsense, said Kelly.Responding to a question this summer about why he'd choose 33-year-old Michael Vick as his quarterback if he's building for the future, Kelly said he's focused on the present."My job is to win right now," he said. "We're not writing anything off. We're going out there to compete and see how it falls, but that's (rebuilding) never been our mentality. If I went in the locker room and said this is going to be a really good year for us to get ready for the following year, that's not going to work. No one has a mindset like that."Kelly, who lost only seven games in four years at Oregon, said the recent history of three- and four-win teams being able to make the playoffs the next season shows a quick turnaround is possible."I just think the league is set up that way," said Kelly. "Everybody has the same rules. Everybody has the same salary cap. If you finish first this year, you draft 32nd the next year. If you finish 32nd this year, you draft first the next year. The league is set up in that manner so if a team was successful because they had all older players, you can't keep them all because you don't have enough money to keep them all."You can't sign everybody. You can't keep everybody. So the league is structured that way where it doesn't take five, six, seven years to develop your minor leagues and continue to get depth and bring them up through the ranks. It's set up for you to get a chance if you do a good job in your selections of who you're bringing in."Kelly has certainly brought in players, through free agency and his first draft.Following is a look at the roster by position and what it might mean for the season:QuarterbackVick is back for a fourth season as the starter, which didn't seem possible at the end of last year. But Vick, 33, claims he's been rejuvenated by Kelly and won the job by outplaying Nick Foles in the preseason.Vick was never better than in his first seven starts after taking over for Kevin Kolb in 2010, when he threw 11 TD passes without an interception. He had a career-best 100.2 passer rating and went 8-3 as the starter that year.But since that seven-game start, Vick has 41 TD passes and 31 picks in 29 games, along with nine lost fumbles. Vick said his confidence is back, but he needs to show it on the field.Foles started six games last year and deserved better than a 1-5 record. He lacks Vick's mobility for the read-option, but makes decisions and gets rid of the ball. Ball security, however, has been an issue. He had five interceptions and lost three fumbles in seven games last season and threw a end-zone pick and fumbled twice in the preseason.Rookie Matt Barkley might be Kelly's future quarterback, but he's unlikely to get much of a chance to show it this season.Bottom line: Vick has the job for now, but if he doesn't produce, Foles will get his shot.Running backLeSean McCoy's production dropped significantly in 2012 after his Pro Bowl breakout a year earlier, due to the ineptitude of the offense and his missing four games with a concussion.McCoy, though, is primed for a big season in Kelly's offense. As the single setback in the up-tempo offense, McCoy should get more chances as both a runner and a receiver and will cause major problems for defenses if the Eagles deliver on the mismatches they expect.Bryce Brown ran for 357 yards and four touchdowns in his first two starts in place of an injured McCoy, but also had issues holding onto the ball, losing three fumbles. A fumble in the preseason didn't do much to allay fears that ball security could be an issue. If he conquers that problem, he's a terrific complement to McCoy.Chris Polk, another 2012 rookie, was slowed by injuries last year and didn't have a carry in seven games. He's a tough runner when healthy.Bottom line: McCoy seems an ideal fit for this offense, and Brown provides depth and big-play potential.Offensive lineThis group was a mess last season, with Jason Peters' offseason Achilles tendon tear setting the tone for a season of misery up front.Guard Evan Mathis was the only one of the expected starters to make it through the season. While he played well, Mathis couldn't do it by himself, as center Jason Kelce (knee) and tackle Todd Herremans (foot) suffered season-ending injuries, and former top pick Danny Watkins was benched after just six games.Peters is back to anchor the left side, and the Birds used their top pick on 6-6, 310-pound Lane Johnson to handle quarterback Michael Vick's blind slide. Herremans, who played guard for six seasons, moves back inside to replace the released Watkins at right guard, and Kelce returns in the middle.Depth is a concern here, with little proven experience outside of free agent Allen Barbre. Dennis Kelly, who got quality minutes as a rookie, is out for two games following lower back surgery.Bottom line: If Peters is the player he was before the injury and the others stay healthy, this can be a dominating group.Tight endBrent Celek begins his fifth season as the starter and should get plenty of chances in Kelly's offense, which makes the tight ends and backs integral parts of the passing game. He's been active for all but one game in his six-year career and has battled through some injuries, so he can use the help from free agent James Casey and rookie Zach Ertz.Celek's ability to make yardage after the catch is his best attribute. He leads all tight ends in that category since becoming a starter in 迷你倉009. Casey isn't as big, but is coming off a career-best season in Houston. He wasn't used much in the preseason, so it remains unclear exactly what Kelly has in mind for him.Ertz, the son of former Wilson standout Doug Ertz, is a Celek-sized (6-5, 250) pass catcher who had 112 receptions for 1,434 yards and 15 TDs in 38 games at Stanford. He has terrific potential, but missed most of the offseason program due to NCAA rules and had some drops in the preseason.Bottom line: Kelly likes to feature tight ends and thinks he has three good ones for his offense.Wide receiverThe Eagles took a huge hit early in training camp when Jeremy Maclin tore his ACL. He was the team's most productive receiver and will be difficult to replace. Career backup Riley Cooper gets the call and is coming off his best season, but that's not saying much: 23 catches and three TDs. Maclin had 69 catches and seven scores.DeSean Jackson said this is an important year for him, and Kelly said during training camp that the game-breaking Jackson can be as good as he wants to be. Sounds like a challenge. Without Maclin, Jackson will be the focus of opponents' pass coverage, but Kelly will certainly try to get him the ball.Reliable Jason Avant is back for an eighth year in Philadelphia. He's remarkably consistent -- his reception totals the last three years are 51, 52 and 53 -- and has the best hands on the team. He excels in the slot, which is why Kelly didn't consider moving him outside when Maclin went down.Second-year man Damaris Johnson will make most of his impact on special teams.Bottom line: Losing Maclin was a major blow, putting Jackson and Cooper on the spot.Defensive lineHere's where things get tricky. Coordinator Billy Davis wants to use a 3-4, but the team is still acquiring the personnel to do that. Fletcher Cox is a developing star at one end, but Cedric Thornton is getting his first chance to start on the other side and it's tough to know how much 31-year-old free agent Isaac Sopoaga has left at nose tackle.Draft pick Bennie Logan was impressive in camp and will get a lot of snaps behind Sopoaga. Vinny Curry looks to get more snaps at end in his second year, and gigantic veteran Clifton Geathers (6-8, 340) meets Kelly's desire for big bodies along the line and will be part of the six-man rotation.Bottom line: The transition to a 3-4 could be rough at times, especially with leftover personnel from a four-man front.LinebackerThe Eagles made some headway at this troublesome position last year by adding reliable DeMeco Ryans and drafting Mychal Kendricks, but the project begins anew with the switch to a 3-4 defense.Ryans and Kendricks will be the inside linebackers, with promising youngsters Emmanuel Acho and Jake Knott behind them. On the outside, Connor Barwin signed a six-year deal as a free agent from Houston, where he played in a 3-4. He was one of the more impressive defensive players in camp.Trent Cole starts on the other side, trying to transition to OLB after eight seasons as and end in a 4-3. He's a proven rusher if he can adapt to pass coverage. Brandon Graham, the team's top draft pick in 2010, is also making the switch from DE. He played well in six starts at the end of last season, but also must show he can make the move to linebacker.Bottom line: More changes. More questions. More of the same?SecondaryThe Eagles are essentially starting over here, and that's a good thing. Corners Nnamdi Asomugha and Dominique Rodgers-Cromartie were the big-name players in a secondary that allowed an astounding 33 TDs while intercepting just eight passes -- and half of those came in the season opener.Free agents Cary Williams and Bradley Fletcher are the corners now. Williams started every game for Baltimore last year and had two playoff interceptions for the Super Bowl champs. Fletcher was a part-time starter in St. Louis last year. Second-year man Brandon Boykin will play the slot. The team grabbed Cincinnati castoff Shaun Prater on waivers to provide some depth.At safety, free agent Patrick Chung takes one of the spots. He started 30 games in four seasons with New England, and had two picks and broke up five passes last year. Nate Allen held on to his job at the other spot, but this is a make-or-break year for him. Rookie Earl Wolff will push for playing time. Kurt Coleman, a starter for much of the last two seasons, is fine as a backup and special teams contributor.Bottom line: It has to be better than last year, right? Right?Special teamsVeteran Donnie Jones in the third punter the Eagles have tried since allowing steady if unspectacular Sav Rocca to walk after the 2009 season. Jones, who takes over after Mat McBriar failed to impress in his one season, ranks fifth in NFL history in both gross (45.6) and net (39.0) average. He's played nine seasons for four teams, and set franchise records for gross (47.2) and net (40.5) average during his one season with Houston.Alex Henery was solid in his second season as the kicker. He's hit 88 percent of his field goals thus far (51-for-58), but needs to prove he can be consistent from long range. He's just 1-for-3 from 50 yards and beyond.Damaris Johnson was inconsistent on punt returns, but the NCAA's all-time leader in all-purpose yardage (7,796) has big-play potential. He had a team-record 98-yard punt return for a TD against Dallas. Kelly might use DeSean Jackson on punts, with Johnson moving to kickoffs, where he averaged 27.2 yards in the preseason.The Birds were dreadful in coverage last year. Dave Fipp, an assistant special teams coach for two teams the last five years, was brought in as coordinator to fix that problem.Bottom line: There was nothing special here last year, and Kelly expects more.
